1.Introduction
This User Agreement & Disclaimer (the "Agreement") is entered into between you, the user ("User" or "you"), and the operator of the online content Videomart ("Videomart," "we," "us," or "our"). By accessing, browsing, or using the Videomart, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions contained in this Agreement, including any additional guidelines and future modifications. 3.Registration and User Accounts
To access and use the Videomart, you may be required to create a User account. You agree to:
.Provide accurate, current, and complete information about yourself during the registration process.
.Maintain and promptly update your account information to keep it accurate, current, and complete.
.Keep your account password confidential and not share it with others.
.Take full responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate your account at our sole discretion, without notice, if we believe that you have violated this Agreement.
4.User Conduct
As a User of the Videomart, you agree to:
.Comply with all applicable laws and regulations.
.Use the Videomart only for lawful purposes and in accordance with this Agreement.
.Not infringe upon the intellectual property rights of others, including copyright, trademark, trade secret, and patent rights.
.Not engage in any conduct that is harmful, abusive, harassing, threatening, or otherwise objectionable.
5.Content and Intellectual Property
The Videomart does not provide, produce, or own any content exchanged between Participants. Content exchanged on the platform is the sole responsibility of the Participants who provide it. The Videomart is not responsible for verifying the copyright status of such content and has no liability for any copyright infringement claims that may arise from content exchanged on the platform.
By using the Videomart, you acknowledge and agree that:
.You are solely responsible for obtaining all necessary rights, licenses, and permissions to use, distribute, and sublicense any content you exchange on the platform.
.You will not hold the Videomart liable for any claims of copyright infringement or other intellectual property disputes arising from content exchanged on the platform.
.You will indemnify and hold the Videomart harmless from and against any and all claims, damages, losses, and expenses (including but not limited to attorneys' fees) arising from or relating to your use of the platform.
6.Disclaimer of Warranties
The Videomart is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, the Videomart disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Videomart does not warrant that the platform will be error-free, uninterrupted, secure, or meet your requirements or expectations.
7.Limitation of Liability
In no event shall the Videomart, its affiliates, or their respective officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:
.Your use or inability to use the Videomart.
.Any conduct, content, or transactions of any Participant or third party on the platform.
.Unauthorized access to or alteration of your transmissions or data.
.Any other matter relating to the Videomart.
8.Indemnification
You agree to indemnify, defend, and hold harmless the Videomart, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Videomart.
9.Termination
We may, in our sole discretion, terminate this Agreement and your access to the Videomart at any time, without notice, for any reason, including but not limited to your breach of this Agreement.
10.Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Videomart is based, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction for any disputesarising out of or relating to this Agreement.
11.Changes to the Agreement
We may, in our sole discretion, modify or update this Agreement from time to time. Your continued use of the Videomart after any such changes constitutes your acceptance of the new Agreement. We encourage you to periodically review this Agreement to stay informed about any updates.
12.Severability
If any provision of this Agreement is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.
13.Waiver
Our failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
14.Entire Agreement
This Agreement, along with any additional guidelines or modifications, constitutes the entire agreement between you and the Videomart and governs your use of the Videomart, superseding any prior agreements between you and the Videomart.
